Strive has entered an at-the-market sales agreement allowing it to offer up to $1 billion of its 15. 00% Series A Perpetual SATS Preferred Stock. The agreement was dated October 26, 2026, and permits sales through Cantor Fitzgerald, Barclays Capital, Clear Street, StoneX Financial, B. Strive can decide when to sell shares and is not required to use the program.
The SATS stock carries a $100 stated amount and an initial $100 liquidation preference. Its dividends are cumulative and accrue at a fixed annual rate of 15%, with payments scheduled for each business day when declared and legally payable. The securities rank ahead of Strive’s Class A and Class B common stock for dividends and liquidation distributions, but behind the company’s SATA preferred stock, future senior preferred securities, debt and subsidiary liabilities.
That offering was scheduled to settle on October 20, while the company said the first regular dividend payment was expected on November 9 and would include accrued dividends from the closing date if declared in full. Strive also applied to list SATS on Nasdaq, where the stock is registered under the SATS symbol.
The seven sales agents may receive commissions of up to 2% of gross proceeds, and Strive agreed to reimburse certain offering expenses. Sales can occur at market prices or through other legally permitted methods, and the company may suspend or terminate the arrangement at any time. The filing does not require Strive to sell the full $1 billion, so the ultimate amount raised will depend on the company’s decisions and market conditions.
